Terms of Service

1. Acceptance of terms

By accessing or using LeapClue (available at leapclue.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms apply to all users, including waitlisted users, subscribers, and visitors.

2. Description of service

LeapClue is a managed cloud platform that deploys and operates personal AI gateway instances on dedicated virtual machines. The service includes:

• A dedicated virtual machine running your AI assistant instance
• A web dashboard to manage, start, stop, and configure your instance
• A browser-accessible terminal and file manager for your instance
• HTTP and WebSocket proxy access to your instance's web UI
• Subscription billing via Razorpay
• Optional Managed Credits for using AI models through the LeapClue platform without supplying your own API key

LeapClue is built on top of OpenClaw (published at openclaw.ai). Use of OpenClaw is subject to its own terms and licensing. LeapClue is not affiliated with, endorsed by, or responsible for OpenClaw's functionality or availability.

3. Account responsibilities

• You must be at least 18 years of age (or the age of majority in your jurisdiction) to use LeapClue.
• You are responsible for maintaining the confidentiality of your account credentials and API keys.
• Each account is limited to one active AI instance at a time unless otherwise specified.
• You may not share, resell, or sublicense access to your instance to third parties.
• You are responsible for all activity that occurs under your account.

4. Payment and billing

• LeapClue operates on a monthly subscription model. Subscriptions are billed in advance via Razorpay.
• Prices are displayed in Indian Rupees (INR). USD equivalents are shown for reference only. Razorpay processes all transactions in INR.
• GST (18%) is added to all prices at checkout and is clearly shown to you on the website and before payment is confirmed. Binary Tech Studio GSTIN: 09BBMPC6009B1Z1.
• You authorise LeapClue to charge your selected payment method on a recurring monthly basis until you cancel.
• Failed payments may result in your instance being suspended after a 3-day grace period. Instances suspended for non-payment for more than 7 days may be permanently deleted.

Managed Credits

• LeapClue Managed Credits ("credits") are purchased separately and deducted as you use managed AI models. Credits are priced in INR with GST applied at the time of purchase.
• Credits are non-refundable and non-transferable once purchased. No refund will be issued for unused credits.
• Credits do not expire and remain on your account until used.
• For any transactional issues with a credit purchase (e.g., payment debited but credits not received), contact us at contact@leapclue.com within 7 days of the transaction.

5. Acceptable use

You agree not to use LeapClue to:

• Violate any applicable law, regulation, or third-party rights
• Generate, distribute, or host illegal, harmful, or abusive content
• Send spam, phishing messages, or unsolicited communications through your AI instance
• Circumvent or attempt to circumvent the isolation between user instances
• Conduct cryptocurrency mining, DDoS attacks, or other resource-abusive activities on your VM
• Reverse-engineer, decompile, or attempt to access LeapClue's infrastructure beyond your own instance
• Misrepresent your AI as a human to third parties without disclosure

We reserve the right to suspend or terminate accounts that violate these terms without prior notice for serious violations.

6. Your content and API keys

You retain ownership of all data, configurations, files, and content stored within your LeapClue instance. You grant LeapClue the limited right to host and operate this content solely to provide the service.

Your LLM API key (Anthropic, OpenAI, or other) is your responsibility. LeapClue stores it encrypted and uses it only to start and run your instance. You must ensure your use of third-party LLM services complies with their respective terms of service.

7. Service availability

LeapClue aims for high availability but does not guarantee any specific uptime SLA on standard plans. Scheduled maintenance, infrastructure incidents, or force majeure events may result in temporary downtime. Significant planned maintenance will be communicated in advance via email where possible.

8. Intellectual property

LeapClue, its logo, website, and platform code are the intellectual property of Binary Tech Studio. You may not use our branding, trademarks, or copyrighted materials without prior written consent.

9. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription via the dashboard. We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees after the grace period
• Engage in activity that threatens the security or integrity of our platform

Upon termination, your instance and all associated data will be deleted within 7 days. You are responsible for backing up any data you wish to retain before cancellation.

10. Limitation of liability

To the maximum extent permitted by law, LeapClue and Binary Tech Studio shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service, including but not limited to loss of data, loss of revenue, or business interruption.

LeapClue's total liability for any claim arising under these Terms shall not exceed the amount you paid to LeapClue in the 3 months preceding the claim.

11. Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses.

12. Governing law and dispute resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh, India.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent website notice at least 14 days before taking effect. Continued use of the service constitutes acceptance of the revised Terms.
